OverlayGG End User License Agreement

This End User License Agreement ("Agreement" or "EULA") is a binding contract between you ("you" or "Licensee") and Overlay Game Guides LLC, a California limited liability company headquartered in Los Angeles County, California ("OverlayGG", "we", "us", or "our"). It governs your use of the OverlayGG desktop application, the overlaygg.com website, and any related services (collectively, the "Service").

By installing, accessing, or using the Service, you agree to this Agreement. If you do not agree, do not install or use the Service.


1. License grant

Subject to your compliance with this Agreement, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one (1) copy of the OverlayGG application on devices you own or control, for your own personal, non-commercial use.

This is a license, not a sale. We retain all right, title, and interest in and to the Service, including all intellectual property rights.

1.1 Lifetime access

If you purchase OverlayGG through Steam, your license is lifetime for the version of the Service we make available — meaning we will not charge you a recurring fee, and you continue to receive bug fixes and new guide content for as long as we operate the Service. "Lifetime" is bounded by the operational lifetime of the Service itself; we may discontinue the Service per section 8 below.

3. Account, connectivity, and Steam entitlement

To use OverlayGG, you need an active internet connection and a Steam account that Steam currently recognizes as entitled to run the application. Entitlement may come from a purchase, a key, or an authorized Steam sharing feature where Steam permits the borrowing account to run OverlayGG. Entitlement and sharing availability are controlled by Steam and may change under Steam's rules. The current version of OverlayGG is Steam-exclusive; public email/password account creation is not available. Email/password accounts exist only for administrative or pre-existing users.

You are responsible for keeping your account credentials secure and for any activity under your account. Notify us immediately at support@overlaygg.com if you suspect unauthorized access.

If you obtained the Service through Steam, your license is also subject to the Steam Subscriber Agreement (https://store.steampowered.com/subscriber_agreement/). In the event of a direct conflict between this EULA and the Steam Subscriber Agreement, the Steam Subscriber Agreement controls only as to the purchase, payment, refund, and Steam-account-management aspects.


4. Third-party games, content, and anti-cheat risk

OverlayGG is an unofficial third-party guide overlay. We are not affiliated with, endorsed by, or sponsored by any of the games OverlayGG references. All game names, logos, and trademarks are the property of their respective owners. Guide content displayed in OverlayGG is intended as informational reference for personal use, in the same spirit as a printed strategy guide.

4.1 Anti-cheat assumption of risk

Third-party game rules and anti-cheat behavior vary and can change without notice. A game publisher, platform, or anti-cheat provider may warn about, restrict, or block a third-party overlay application, including OverlayGG. You use OverlayGG with anti-cheat-protected games at your own risk. OverlayGG is not responsible for any account action, progress loss, game crash, compatibility failure, or other consequence imposed by a game publisher, platform, or anti-cheat provider in connection with your use of OverlayGG.

Safe Mode runs OverlayGG as an ordinary desktop window instead of a transparent, always-on-top overlay. It is a display fallback, not an anti-cheat bypass, and we do not represent that it avoids detection or makes use permissible under a game's rules.

4.2 Third-party tools we may reference

In our application, on our website, and in our support materials we may reference third-party tools that could help with a display-mode or compatibility issue — for example, Borderless Gaming or the BorderlessMining Minecraft mod. We are not affiliated with, do not endorse, and do not warrant any third-party tool, and we do not promise it will work with your setup. You install and use those tools under their own licenses and at your own risk; we are not responsible for their behavior, security, updates, or any damage they cause.


5. Behavior and system access

OverlayGG, when running on your computer, may:

By installing OverlayGG, you expressly consent to all of these behaviors. You can switch to an ordinary resizable window by enabling Safe Mode in Settings, and you can quit the application entirely via the window's close (X) button or the system tray.


6. Updates

We may release updates to OverlayGG, including bug fixes, new features, and new guide content. Updates to the application are delivered through Steam. You agree to receive these updates as part of your use of the Service.

We may at our discretion change, add, or remove features. We will use reasonable efforts to provide notice of material changes in the application or on overlaygg.com.


7. Refunds

If you purchased OverlayGG through Steam, refunds are handled exclusively by Steam under the Steam Refund Policy (https://store.steampowered.com/steam_refunds). We do not separately process refunds for Steam purchases.


8. Term and termination

This Agreement is effective until terminated.

You may terminate this Agreement at any time by uninstalling OverlayGG and (if you wish) deleting your account by emailing support@overlaygg.com (see the Privacy Policy, section 7).

We may suspend or terminate your access to the Service if:

If we discontinue the Service entirely, we will use reasonable efforts to give at least 60 days' notice via email and on overlaygg.com.

Sections that by their nature should survive termination (including sections 9–14) will survive.


9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment.

We do not warrant that the Service will be uninterrupted, error-free, secure, or compatible with any particular game, anti-cheat system, hardware configuration, operating-system version, antivirus product, mouse hook policy, GPU driver, display configuration, or fullscreen mode. We do not warrant that any guide content is accurate, complete, current, or suitable for any particular purpose. Guide content is informational only and is not a substitute for your own judgment.

Without limiting the foregoing, you specifically acknowledge that:

Some jurisdictions do not allow the disclaimer of implied warranties; in those jurisdictions, the above disclaimers apply to the maximum extent permitted by law.


10. Limitation of liability

To the maximum extent permitted by law, in no event will OverlayGG, its members, officers, employees, or contractors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or game-account access, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability arising out of or related to this Agreement or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the liability, or (b) twenty US dollars (USD $20).

Some jurisdictions do not allow the limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited by applicable law.


11. Indemnification

You agree to indemnify, defend, and hold harmless OverlayGG and its members, officers, employees, and contractors from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of or related to:


12. Governing law and dispute resolution

This Agreement is governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles.

12.1 Informal resolution first

Before filing any formal claim, you agree to first send a written notice of dispute to support@overlaygg.com with the subject line "Notice of dispute", describing the claim and the relief sought. We will attempt in good faith to resolve the dispute informally for at least 60 days after receipt. Most disputes can be resolved this way.

12.2 Forum and personal jurisdiction

If informal resolution fails, any dispute arising out of or related to this Agreement or the Service will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts and waive any objection to that venue.

12.3 Class-action and jury-trial waiver

To the maximum extent permitted by applicable law, you and OverlayGG each waive any right to (a) a trial by jury and (b) to participate in any class action, collective action, mass action, or representative proceeding against the other. Claims must be brought in your individual capacity only. If a court of competent jurisdiction holds this waiver unenforceable as to a particular claim, that claim (and only that claim) shall be severed and proceed in court, while all other claims remain subject to this section.

12.4 Steam purchases

If you obtained OverlayGG through Steam, the dispute-resolution and arbitration provisions of the Steam Subscriber Agreement may also apply to disputes about the Steam purchase itself.

12.5 Time limit

To the maximum extent permitted by applicable law, any claim arising out of or related to this Agreement or the Service must be brought within one (1) year of the date the claim arose, or it is permanently barred.

We respect the intellectual property rights of others and expect our users to do the same. OverlayGG allows users to create limited content (such as personal notes and shared guide codes). If you believe that material accessible through the Service infringes a copyright you own or are authorized to act for, you may submit a notice under the U.S. Digital Millennium Copyright Act ("DMCA").

14.1 Notice of claimed infringement

Send a written notice to our designated agent (section 14.2) that includes all of the following, as required by 17 U.S.C. § 512(c)(3):

14.3 Counter-notification

If you believe your material was removed or disabled by mistake or misidentification, you may send a counter-notification to the same agent containing the information required by 17 U.S.C. § 512(g)(3). Unless the original complainant notifies us that they have filed a court action seeking to restrain the activity, we may restore the removed material in not less than 10 and not more than 14 business days after we receive your counter-notification.

14.4 Repeat infringers

In appropriate circumstances, we will suspend or terminate the accounts of users who are repeat infringers.
