OverlayGG End User License Agreement

This End User License Agreement ("Agreement" or "EULA") is a binding contract between you ("you" or "Licensee") and Overlay Game Guides LLC, a California limited liability company headquartered in Los Angeles County, California ("OverlayGG", "we", "us", or "our"). It governs your use of the OverlayGG desktop application, the overlaygg.com website, and any related services (collectively, the "Service").
By installing, accessing, or using the Service, you agree to this Agreement. If you do not agree, do not install or use the Service.
1. License grant
Subject to your compliance with this Agreement, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one (1) copy of the OverlayGG application on devices you own or control, for your own personal, non-commercial use.
This is a license, not a sale. We retain all right, title, and interest in and to the Service, including all intellectual property rights.
1.1 Lifetime access
If you purchase OverlayGG through Steam, your license is lifetime for the version of the Service we make available — meaning we will not charge you a recurring fee, and you continue to receive bug fixes and new guide content for as long as we operate the Service. "Lifetime" is bounded by the operational lifetime of the Service itself; we may discontinue the Service per section 8 below.
2. Restrictions
You agree that you will not, and will not allow anyone else to:
- Copy, modify, distribute, sell, lease, or sublicense the Service;
- Reverse-engineer, decompile, or disassemble the Service, except to the extent that applicable law expressly permits despite this restriction;
- Remove, obscure, or alter any proprietary notices on the Service;
- Use the Service to violate any law, infringe any intellectual property right, or facilitate cheating in any game;
- Use the Service to access, scrape, or extract guide content in bulk for redistribution;
- Use automated means (bots, scripts) to interact with the Service, except as expressly permitted;
- Bypass, disable, or interfere with any security or rate-limiting feature of the Service;
- Use the Service in connection with any application, service, or activity that violates a third party's terms of service (including the terms of any game you use OverlayGG with).
3. Account and Steam ownership
To use the gated features of OverlayGG, you must either:
- Create an OverlayGG account with a valid email address; or
- Sign in with Steam, in which case ownership of OverlayGG on your Steam account is the license check.
You are responsible for keeping your account credentials secure and for any activity under your account. Notify us immediately at support@overlaygg.com if you suspect unauthorized access.
If you obtained the Service through Steam, your license is also subject to the Steam Subscriber Agreement (https://store.steampowered.com/subscriber_agreement/). In the event of a direct conflict between this EULA and the Steam Subscriber Agreement, the Steam Subscriber Agreement controls only as to the purchase, payment, refund, and Steam-account-management aspects.
4. Third-party games, content, and anti-cheat risk
OverlayGG is an unofficial third-party guide overlay. We are not affiliated with, endorsed by, or sponsored by any of the games OverlayGG references. All game names, logos, and trademarks are the property of their respective owners. Guide content displayed in OverlayGG is intended as informational reference for personal use, in the same spirit as a printed strategy guide.
4.1 Anti-cheat assumption of risk
You acknowledge and agree that some games' anti-cheat systems — particularly kernel-level systems such as Riot Vanguard, BattlEye, Easy Anti-Cheat, NetEase ACE, nProtect GameGuard, XignCode, mhyProt2, KRS, and Roblox Hyperion — may detect, warn against, block, or take adverse action against any third-party overlay application, including OverlayGG. You use OverlayGG with anti-cheat-protected games at your own risk. OverlayGG is not responsible for, and you release us from any claim arising out of, any account suspension, ban, item or progress loss, ranked-rating loss, hardware ID ban, game crash, or other consequence imposed by a game publisher, platform, or anti-cheat provider as a result of your use of an overlay or of OverlayGG specifically.
We provide an in-app warning banner before you open any guide for a known strict-anti-cheat game, and we provide a Safe Mode (previously called "Window Mode") that runs OverlayGG as a normal window without any overlay APIs. Your decision to ignore the warning or to remain in overlay mode is your own choice and at your own risk.
4.2 Third-party tools we may reference
In our application, on our website, and in our support materials we may reference third-party tools that solve compatibility problems we cannot fix ourselves — for example, the open-source Borderless Gaming utility, the BorderlessMining Minecraft mod, and OptiFine. We are not affiliated with, do not endorse, and do not warrant any third-party tool. We provide references purely as information, the same way a hardware reviewer might mention an aftermarket cooler. You install and use those tools under their own licenses and at your own risk; we are not responsible for their behavior, security, updates, or any damage they cause.
5. Behavior and system access
OverlayGG, when running on your computer, may:
- Display a transparent always-on-top window over your other applications (overlay mode only);
- Pass mouse clicks through to the application beneath it ("click-through") (overlay mode only);
- Register a global, OS-level mouse-wheel hook (via the
uiohook-napilibrary) so the wheel scrolls the overlay even when the cursor isn't focused on it (overlay mode only); - Register a configurable global hotkey (default F4) to show or hide the overlay, and a separate configurable hotkey (default
\) to lock or unlock click-through; - Briefly call Windows focus APIs (
SetForegroundWindow,SetCursorPos) when toggling lock state, to return keyboard and cursor control to the game underneath; - Run in the system tray when minimized;
- Load the Steam SDK in-process (in our Electron main process, via the
steamworks.jslibrary) to verify ownership of the OverlayGG Steam application; - Communicate with our servers to load guide content, save your favorites/notes, and verify your license.
By installing OverlayGG, you expressly consent to all of these behaviors. You can disable the overlay-specific behaviors at any time by switching to Safe Mode in Settings, and you can quit the application entirely via the system tray.
6. Updates
We may release updates to OverlayGG, including bug fixes, new features, and new guide content. Updates are delivered automatically through Steam (or, in the future, through the Service itself if you obtained OverlayGG outside Steam). You agree to receive these updates as part of your use of the Service.
We may at our discretion change, add, or remove features. We will use reasonable efforts to provide notice of material changes in the application or on overlaygg.com.
7. Refunds
If you purchased OverlayGG through Steam, refunds are handled exclusively by Steam under the Steam Refund Policy (https://store.steampowered.com/steam_refunds). We do not separately process refunds for Steam purchases.
If at some future date we offer direct sales outside of Steam, refund terms for those purchases will be posted at that time.
8. Term and termination
This Agreement is effective until terminated.
You may terminate this Agreement at any time by uninstalling OverlayGG and (if you wish) deleting your account by emailing support@overlaygg.com (see the Privacy Policy, section 7).
We may suspend or terminate your access to the Service if:
- You materially breach this Agreement;
- We are required to do so by law;
- We discontinue the Service in whole or in part.
If we discontinue the Service entirely, we will use reasonable efforts to give at least 60 days' notice via email and on overlaygg.com.
Sections that by their nature should survive termination (including sections 9–13) will survive.
9. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment.
We do not warrant that the Service will be uninterrupted, error-free, secure, or compatible with any particular game, anti-cheat system, hardware configuration, operating-system version, antivirus product, mouse hook policy, GPU driver, display configuration, or fullscreen mode. We do not warrant that any guide content is accurate, complete, current, or suitable for any particular purpose. Guide content is informational only and is not a substitute for your own judgment.
Without limiting the foregoing, you specifically acknowledge that:
- Game patches change everything. A guide that is accurate at the time of writing may become outdated when a game's developer publishes a balance patch, content update, or rework. We do not promise that any guide reflects the latest patch.
- Overlay rendering depends on your display mode. Games running in true exclusive fullscreen mode bypass the Windows Desktop Window Manager and prevent every overlay (ours, Discord's, OBS's, Steam's) from drawing on top. This is an operating-system limitation, not a defect of the Service. We may suggest publicly available third-party tools that solve this for your game; see section 4.2.
- Anti-cheat is unpredictable. Anti-cheat behavior can change without notice via a server-side rule update. A game that worked with the overlay yesterday may not work tomorrow. Section 4.1 governs your assumption of that risk.
- System performance and stability vary. We do not warrant that the Service will have no impact on your game's frame rate, that it will not conflict with other overlay or input-hook software you have installed, or that it will not crash or fail to launch in any specific environment.
- No warranty of data preservation. Your notes, favorites, settings, and reports are best-effort. We do not warrant that data you create in the Service will be preserved without loss; you remain responsible for any backups you consider important.
Some jurisdictions do not allow the disclaimer of implied warranties; in those jurisdictions, the above disclaimers apply to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, in no event will OverlayGG, its members, officers, employees, or contractors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or game-account access, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
Our total cumulative liability arising out of or related to this Agreement or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the liability, or (b) twenty US dollars (USD $20).
Some jurisdictions do not allow the limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless OverlayGG and its members, officers, employees, and contractors from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of or related to:
- Your breach of this Agreement;
- Your misuse of the Service;
- Your violation of any law or third-party right (including the terms of service of any game).
12. Governing law and dispute resolution
This Agreement is governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles.
12.1 Informal resolution first
Before filing any formal claim, you agree to first send a written notice of dispute to support@overlaygg.com with the subject line "Notice of dispute", describing the claim and the relief sought. We will attempt in good faith to resolve the dispute informally for at least 60 days after receipt. Most disputes can be resolved this way.
12.2 Forum and personal jurisdiction
If informal resolution fails, any dispute arising out of or related to this Agreement or the Service will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts and waive any objection to that venue.
12.3 Class-action and jury-trial waiver
To the maximum extent permitted by applicable law, you and OverlayGG each waive any right to (a) a trial by jury and (b) to participate in any class action, collective action, mass action, or representative proceeding against the other. Claims must be brought in your individual capacity only. If a court of competent jurisdiction holds this waiver unenforceable as to a particular claim, that claim (and only that claim) shall be severed and proceed in court, while all other claims remain subject to this section.
12.4 Steam purchases
If you obtained OverlayGG through Steam, the dispute-resolution and arbitration provisions of the Steam Subscriber Agreement may also apply to disputes about the Steam purchase itself.
12.5 Time limit
To the maximum extent permitted by applicable law, any claim arising out of or related to this Agreement or the Service must be brought within one (1) year of the date the claim arose, or it is permanently barred.
13. Miscellaneous
- Entire agreement. This Agreement, together with the Privacy Policy at overlaygg.com/privacy, is the entire agreement between you and us regarding the Service, and supersedes any prior agreements.
- Severability. If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any right under this Agreement does not waive that right.
- Assignment. You may not assign this Agreement without our prior written consent. We may assign this Agreement, in whole or in part, in connection with a merger, acquisition, sale of assets, or by operation of law.
- Changes. We may update this Agreement from time to time. We will update the "Last updated" date and, where the changes are material, notify you in the application or on overlaygg.com. Your continued use of the Service after changes take effect means you accept the updated Agreement.
